外商（港澳臺）投資企業申辦過程中所需提交材料（自貿區）
Documents Prepared for the Application to set up a Foreign - Invested (TAIWAN, HONHKONG, MACAO) Company（Polot Free Trade Zone）
一、 名稱登記階段：(PHASE ONE:NAME REGISTRATION)
1、 投資人簽署的《名稱登記申請書》（外國投資方有權代表簽署、中方蓋章+法人簽字、自然人簽字）

2、 投資各方營業執照+投資方有權代表簽字人的護照復印件
Legal Business license of all the investors
①、投資外方營業執照須經當地公正機關公正后，并經中國駐當地大使館認證（認證原件2份）。上述資料需經上海專業翻譯公司翻譯成中文（中文原件2份）。（詳見備注1）
Investing business licenses must be approved by local authorities just notarized, then the local Chinese embassy certification. (2 originals). The above information is subject to the professional translation companies in Shanghai translation (2 originals). (see Note 1)
②、香港投資人的合法開業證明（包括“公司注冊證書”和“商業登記證”），必須經香港公正機關公證,并經中國法律服務（香港）有限公司轉遞、出具。（詳見備注2）
Hong Kong investors have legitimate business (including "company registration certificate" and "Business Registration Certificate") must be approved by Hong Kong authorities just notarized, and the China Legal Service (HK) Limited transmit, produce. (see Note 2)
③、外國個人投資者需提供護照原件+復印件+入境證明（護照后頁入境簽證的時間復印即可）
④、中方提供企業法人營業執照（非上海企業需要提供執照原件+蓋章復印件，上海企業只要提供加蓋公章的執照復印件，自然人提供身份證原件+復印件）。

二、 政府審批和工商注冊登記階段(PHASE TWO: EXAMINE、APPROVE AND REGISTRATION)
1、 投資方簽字認可的項合同、章程，以及外商投資企業設立申請書、設立審批告知承諾書（報告、章程可由代理單位代為編制）；
Project Feasibility Study, Contract and Articles with the signature and approved by the investors. (Agent can be compiling PFS and Articles for the Clients).
2、 外方投資者須提供銀行出具的企業資信證明（原件1份），并由翻譯公司翻譯成中文（原件1份）(列入“負面清單”項目需要提供)。
The foreign investors should show the Finance Credit Certificate issued by Bank. (1 original), and it should be translated into Chinese by Shanghai Professional Translation Company(1 original). （“Negative list”need to provide）
3、 申辦生產型企業（或增資等），還需要提供“環境影響評價備案征詢表或環評報告書（需要由環評受理單位蓋章）、項目節能評估表（或書）。
Applying for production enterprise (or increase). also need to provide " Environmental impact assessment record consult Table (sealed by environmental management department).
4、 法定代表人簽署的《外商投資企業登記申請書》和《名稱核準通知書》（工商統一的表格）；以及；

6、 擬成立企業的企業董事長、副董事長、董事、總經理、副總經理、監事、企業聯絡員身份證明
ID, Resume of the Director of the Board, and provide the copy of the passport for the Director of the Board, the vice Director of the Board, members of the Board, general manager, vice general manager, supervisor and the liaison officer.
7、 經營場所（住所）租賃合同（原件2份），及出租方的產權證明（必須加蓋產權單位公章）。自有產權房屋提供土地證、房產證（必須加蓋產權單位公章）。租賃合同還必須經所在地房地產登記部門登記備案，出具房屋租賃備案證書。
House Lease (Purchase) Contract (2 originals) with the chop of the landlord , and to show land use right certificate, property certificate(with the crop of the landlord). And must be approved by the real estate sector registration.
8、 給代理機構的委托代理書（原件2份）。
The Entrust Agreement of the Consulting Agency (2 originals).
9、 法定代表人授權委托書（原件3份）。
Letter of Authorization by the Legal Representative (3 originals).
9、董事會成員名單，投資各方委派書（工商局統一表格，原件各3份）。
Name lists of the members of the Board, Letter of Appointment by various partners (Issued by Shanghai I&C Bureau, 3 originals for each).
10、《外商投資企業設立備案申報表和承諾書》《由企業蓋章及法人代表簽字的保證所提供材料真實性的承諾書》（原件）等表格一套（網上申報通過后，需要投資方簽署）

11、擬成立企業正式名一個，備用11、名二個（中英文），以及擬成立企業經營范圍。
Business scope, one formal name, two optional names both in English and Chinese for the company to be set up.
備注：
1． 紅色標注的文件，投資方需要先行準備；其他文件則由投資方提供相關信息后，德頌公司準備好所有申報文件，投資方簽字蓋章即可。
2． 投資方注冊登記證明公證說明：
1） 法國不需要公證及認證；
2） 日本只需中國駐日本大使館認證即可；
3） 臺胞證不需要公證；
4） 外國個人投資者需提供護照復印件及入境證明（護照后頁入境簽證的時間復印即可）
